These Reservation Terms ("Terms") govern the production-slot reservation ("Reservation") you pay to Capsul Group Ltd and its affiliates ("Capsul", "we", "us") to secure a build slot for a Capsul modular unit. They form a contract between you and Capsul.
By paying the Reservation, you confirm you have read and agree to these Terms. If you do not agree, please do not pay. For any questions, email team@capsulgroup.com before paying.
The Reservation reserves a build slot in Capsul's production schedule for twelve (12) months from the date of payment and places your enquiry on the priority response track. Capsul will respond with a fixed-price quote within two (2) business days of receipt.
The Reservation is not a purchase contract. It does not, by itself, obligate Capsul to fulfil any specific configuration, price, or delivery date until a separate written purchase contract is signed by both parties.
The Reservation is US $1,000 (or the local-currency equivalent shown at checkout). Currency conversion, where applicable, is handled by Stripe at the rate displayed at the time of payment. Capsul does not charge a separate processing fee.
The Reservation is non-refundable. Once paid, the $1,000 is committed to holding your production slot for twelve (12) months. It is not refundable for change of mind, change of circumstances, or failure to proceed to a purchase contract within the 12-month window.
This is balanced by two protections in your favour: (a) the Reservation is credited in full to your purchase price under §4, and (b) statutory consumer-protection rights in your jurisdiction may still apply — see §6.
If you proceed to sign a purchase contract within the 12-month hold window, your $1,000 Reservation is credited in full against your final purchase price. The credit appears on your first purchase invoice as a line-item discount equal to the Reservation paid.
If you do not sign a purchase contract within twelve (12) months of the Reservation date, the slot lapses and the Reservation is forfeited. We will email you at least thirty (30) days before lapse so you have time to act or to confirm an extension by written agreement with Capsul.
For twelve (12) months from your Reservation date, Capsul guarantees: (a) a fixed-price quote on request within two business days, (b) a production slot held against your selected product configuration, and (c) protection of the indicative pricing displayed on capsulgroup.com at the time of your Reservation against industry-wide price increases of less than 10%.
Price increases above 10% (driven by exceptional input-cost movement, regulatory change, or material shortages) may be passed through with at least thirty (30) days' written notice; in that case you may, at your option, either proceed at the revised price or end the Reservation and receive a credit equal to the $1,000 paid usable on any other Capsul product for the remainder of the 12-month window.
You may have a 14-day cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Where it applies, your right to cancel within that window overrides the non-refundable status in §3. The Consumer Rights Act 2015 applies to any services we provide.
You may have a 14-day cooling-off period under the EU Consumer Rights Directive (2011/83/EU) as implemented in your member state. Where it applies, your right to cancel within that window overrides the non-refundable status in §3.
Our goods and services come with consumer guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010). You are entitled to a remedy for major failures and compensation for any other reasonably foreseeable loss or damage.
Refunds are governed by the laws of the State of Illinois (Capsul's headquarters) except where the law of your state of residence provides stronger consumer protection, in which case those laws apply.
Your rights under the Federal Consumer Protection Law (Mexico — PROFECO) or the Consumer Defence Code (Brazil — CDC) apply in full and are not affected by these Terms.
Your rights under the Specified Commercial Transaction Act (特定商取引法) and Consumer Contract Act (消費者契約法) apply where mandated and override anything inconsistent in these Terms.
If Capsul is unable to offer you a production slot within twelve (12) months of payment due to factors within Capsul's control (factory closure, exit from a market, withdrawal of a product), we will refund the Reservation in full within fourteen (14) days of written notice.
All Reservation payments are processed by Stripe Payments Europe Ltd (for UK and EU buyers) or Stripe Payments Inc. (for US, AU, JP, MX, BR and other buyers), in accordance with Stripe's own terms (stripe.com/legal). Capsul does not store your card details.
The Reservation is a non-refundable booking fee. Applicable consumption taxes (VAT, GST, sales tax) are calculated and added at the point of the final purchase contract, based on the delivery jurisdiction.
You may transfer your Reservation to another person (e.g. a family member, a corporate entity you control) by notifying Capsul in writing at team@capsulgroup.com with the new buyer's full name and email. The 12-month hold window does not reset on transfer.
These Terms are governed by the laws of the State of Illinois, United States, except where a buyer's local consumer-protection law provides stronger or non-excludable protections, in which case those local laws apply.
If you have a complaint, please contact us first at team@capsulgroup.com. We aim to resolve all complaints within fourteen (14) days. If we cannot, you retain all rights under your local consumer-protection law to escalate the matter through the appropriate regulator or court.
We may update these Terms from time to time. The version that applies to your Reservation is the version published on this page at the time you paid. We will not retroactively change the terms applying to an existing Reservation.
